Terms of service

These Terms of Sale apply to every order placed with Delight OptoElectronics Private Limited (UEN 201403598C), 22 Sin Ming Lane, #06-76 MidView City, Singapore 573969 ("Delight", "we", "us"), whether on delight.com.sg, by quotation, by purchase order, through GeBIZ or SAP Ariba, or by email, phone or WhatsApp. "You" means the person or organisation placing the order.

1. Who you are buying from

1.1 Delight operates an industrial marketplace and sources products from manufacturers, authorised distributors and other vendors in Singapore and overseas ("Vendors").

1.2 In every case, your contract is with Delight. Delight is the seller of record, issues your quotation and invoice, and is responsible to you for delivery, returns and warranty handling under these Terms. Vendors are not a party to your order, and their identity is not disclosed.

2. Quotations and orders

2.1 Delight is not registered for Goods and Services Tax (GST). Prices on the website and in quotations do not include GST, and no GST is charged at checkout or on our invoices. If Delight becomes GST-registered, we will update these Terms and show GST separately on quotations and invoices.

2.2 Quotations are valid for 14 days unless the quotation says otherwise.

2.3 An order is accepted only when we confirm it in writing (including an order confirmation email) or dispatch the goods. We may decline an order, for example because of a pricing error, stock unavailability or export restrictions.

2.4 If you send a purchase order, these Terms apply to it. Any terms printed on your purchase order do not apply unless we agree to them in writing, except where a government procurement contract (for example through GeBIZ) requires otherwise.

2.5 Some products have a minimum order quantity (MOQ), shown on the product page or quotation. Special-order, made-to-order and imported-on-request items may be non-cancellable and non-returnable; we will say so in the quotation.

3. Prices and payment

3.1 We accept credit and debit cards, Apple Pay, Google Pay, Shop Pay, PayNow and bank transfer (SGD and USD). We do not accept cash or cheques.

3.2 Unless we have approved a credit account, payment is due before dispatch. Government agencies and approved corporate accounts may pay within 30 days of invoice, or on the terms stated in their account approval.

3.3 Overdue amounts on credit accounts may incur interest at 1% per month, and we may suspend further deliveries until they are paid.

3.4 Title to the goods passes to you when we receive full payment.

4. Delivery

4.1 Delivery charges, lead times and service areas are set out in our Delivery Policy, which forms part of these Terms. Self-collection is not available.

4.2 Delivery dates are estimates. We will tell you promptly about any delay, and you may cancel an order for goods not yet dispatched if a delay is unreasonable.

4.3 Risk in the goods passes to you on delivery to the address you gave. International orders ship on DAP terms: import duties, taxes and clearance charges are payable by you.

5. Inspection, returns and refunds

5.1 Please inspect goods on delivery. Damage, wrong items or shortages must be reported within 3 days of delivery.

5.2 Returns, refunds, restocking fees and cancellations are governed by our Returns, Refunds and Warranty Policy, which forms part of these Terms. Change-of-mind returns are not accepted.

6. Warranty

6.1 Products carry the manufacturer's warranty for the period stated on the product page or quotation. Delight will handle your warranty claim with the manufacturer or Vendor.

6.2 Our obligation under warranty is limited, at our option, to repair, replacement or refund of the price paid for the defective product.

6.3 Warranty does not cover damage caused by incorrect installation, misuse, modification, electrical surges, or use outside the manufacturer's specifications or applicable Singapore standards. Electrical products should be installed by a licensed electrician.

6.4 Clearance, "1 set offer" and as-is items are sold without warranty unless the listing says otherwise.

7. Technical information and documents

7.1 Our team provides technical information, datasheets and product documents to help you choose products. Information is taken from manufacturers and Vendors, and final selection and suitability for your application remain your responsibility or that of your consultant.

7.2 Datasheets, specifications, MSDS and ATEX, CE and RoHS certificates are provided free of charge. Certificates of origin, authentication letters and FTA documents are provided on request for a fee of $100 to $200 per document, confirmed before we apply.

8. Limitation of liability

8.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited under Singapore law.

8.2 Subject to 8.1, we are not liable for indirect or consequential loss, loss of profit, revenue or business, or costs of removal, reinstallation or downtime.

8.3 Subject to 8.1, our total liability for any order is limited to the price paid for the products concerned.

8.4 If you are a consumer, these Terms do not affect your rights under the Consumer Protection (Fair Trading) Act 2003 or the Sale of Goods Act 1979.

9. Export control and use

9.1 You must comply with the Strategic Goods (Control) Act 2002, applicable sanctions and all import and export laws when using, re-selling or exporting products.

9.2 Products are not intended for use in life-support, nuclear or other applications where failure could cause death or serious injury, unless the manufacturer expressly approves that use.

10. Events outside our control

We are not liable for delays or failures caused by events beyond our reasonable control, including supply shortages, carrier delays, natural events, epidemics, industrial action or government action. If such an event lasts more than 30 days, either party may cancel the affected order and any payment for undelivered goods will be refunded.

11. General

11.1 These Terms, the Delivery Policy, the Returns, Refunds and Warranty Policy, and your quotation form the entire agreement for your order. If they conflict, the quotation prevails, then these Terms.

11.2 We may update these Terms from time to time. The version in force when you place your order applies to it.

11.3 A person who is not a party to an order has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce these Terms.

11.4 These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
