Seller Terms

These Seller Terms apply to manufacturers, distributors and stockists ("Sellers") who supply products through the marketplace operated by DELIGHT OptoElectronics Pte. Ltd. (UEN 201403598C) ("Delight"). A Seller accepts them by submitting products for listing or accepting a Delight purchase order. A signed supply agreement, if any, prevails over these Terms.

1. How the arrangement works

1.1 Delight buys products from the Seller and resells them to its own customers in its own name. Delight is the seller of record to buyers.

1.2 Listing is free. Delight charges no listing fee and no commission. The Seller quotes its trade price to Delight, and Delight sets its own resale price.

1.3 Delight does not guarantee any minimum volume of orders.

2. Listings and product content

2.1 The Seller provides accurate product information, including specifications, datasheets, images, certifications, country of origin, pack sizes and minimum order quantities.

2.2 Authorisation to use product content. The Seller authorises Delight to copy and use product images, datasheets, specifications, manuals, certificates and other product information from (a) the Seller's own website, catalogues and price lists, and (b) the websites and published materials of the manufacturers and principals whose products the Seller supplies ("Principals"). The Seller confirms that it is entitled to give this authorisation, or has obtained it from its Principals, and will tell Delight in writing of any content Delight must not use.

2.3 The Seller grants Delight a non-exclusive, royalty-free licence to use, edit, reformat and display the product content and brand names described in 2.1 and 2.2 to list, promote and sell the products, for as long as the products are listed and for records of past sales.

2.4 Delight may prepare and edit listings, including with AI tools, and may decline or remove any listing at its discretion.

3. Minimum listing period

3.1 Each product remains listed on Delight's website for a minimum of 12 months from the date it is first listed (the "Minimum Listing Period").

3.2 During the Minimum Listing Period, the Seller may not ask Delight to remove the product, and must continue to supply it against Delight's purchase orders under these Terms.

3.3 3.2 does not apply where a product is discontinued by its manufacturer, recalled, found to be unsafe or non-compliant, or can no longer lawfully be sold. In those cases the Seller must notify Delight in writing immediately, with supporting evidence, and Delight will remove or update the listing.

3.4 After the Minimum Listing Period, the Seller may request removal of a product with 30 days' written notice.

4. Price list and price changes

4.1 The Seller must honour the price list it provides to Delight.

4.2 The Seller may not change its prices without giving Delight at least 30 days' prior written notice (the "Notice Period"). New prices apply only to purchase orders received after the Notice Period ends.

4.3 The Seller must honour, at the prices in force before the change, all purchase orders Delight places during the Notice Period, including orders for quotations Delight issued to its buyers before or during the Notice Period.

4.4 Trade prices confirmed in a Delight purchase order are fixed for that order.

5. Stock

5.1 The Seller keeps its stock availability up to date through stock files, the vendor portal or another method agreed with Delight, and tells Delight promptly of stock-outs and lead-time changes.

6. Purchase orders

6.1 Delight places orders by written purchase order. The Seller confirms or declines each purchase order within 1 working day and states the ready date. The Seller may decline only for genuine unavailability of stock; it may not decline because of a price change still within the Notice Period.

6.2 Once confirmed, the Seller must supply the products in the quantity and specification ordered, by the confirmed ready date.

7. Pickup and delivery

7.1 Delight collects goods from the Seller's premises, unless otherwise agreed. Goods must be ready at the agreed time, securely packed and labelled with the purchase order number.

7.2 Title and risk pass to Delight when Delight collects the goods, or when they are delivered to Delight's nominated address if the Seller delivers.

8. Authenticity, quality and documents

8.1 No counterfeits. The Seller warrants that every product it supplies is genuine and is not counterfeit, imitation, copied, relabelled, refurbished or tampered with, unless Delight has agreed otherwise in writing for a specific product.

8.2 Authorised sourcing. The Seller warrants that every product is sourced directly from its manufacturer or brand owner, or from a distributor or channel authorised by the manufacturer or brand owner, and that the Seller has the right to sell it.

8.3 Proof of source. On request, the Seller will promptly provide evidence of authorised sourcing, such as a manufacturer's or distributor's authorisation letter, purchase invoices, certificates of conformity or batch and serial number records. The Seller keeps these records for at least 5 years from each supply.

8.4 Quality. The Seller warrants that every product is new (unless agreed otherwise), fit for its stated purpose, free from defects, matches its description and specifications, is lawfully supplied, and complies with applicable standards and regulations.

8.5 The Seller provides, on request, datasheets, MSDS, certificates (such as ATEX, CE and RoHS), country-of-origin details and other documents needed by Delight's buyers.

8.6 Suspected counterfeits. If Delight reasonably suspects that a product is counterfeit or not authorised-sourced, Delight may suspend listings and withhold payment for the affected products until the Seller provides satisfactory proof of source.

9. Back-to-back warranty and technical support

9.1 The Seller provides Delight with back-to-back support for every product it supplies: whatever warranty and support Delight gives its buyer for a product, the Seller gives Delight on the same terms, for at least the manufacturer's warranty period.

9.2 Warranty and product failures. If a product is defective or fails within the warranty period, the Seller will, at Delight's choice, repair it, replace it, or credit Delight in full, and will bear the cost of collecting and returning the product. The Seller handles the claim with the manufacturer or Principal where needed. The Seller responds to a warranty claim within 2 working days and completes repair or replacement within 14 days, or the manufacturer's standard turnaround if longer.

9.3 Technical support. The Seller provides technical support to Delight, and where Delight asks, directly to Delight's buyer on Delight's behalf. This covers product selection, specifications, compatibility, installation guidance, troubleshooting and failure analysis. The Seller responds to technical questions within 1 working day.

9.4 When supporting Delight's buyers directly, the Seller acts on Delight's behalf and must not use the contact to sell to the buyer directly (see clause 12).

9.5 The Seller's obligations under this clause continue after a product is removed from the website and after this arrangement ends, for the rest of each product's warranty period.

10. Returns and defects

Products that are damaged, wrong or not as described may be returned to the Seller for replacement or full credit, including reasonable delivery costs incurred by Delight.

11. Payment

11.1 The Seller invoices Delight after each purchase order is fulfilled.

11.2 Standard payment terms are Net-30 from invoice or end-of-month. TT in advance or cash on delivery may be agreed in writing for specific Sellers or orders.

11.3 Delight may set off against any amount it owes the Seller any amount the Seller owes Delight under these Terms, including refunds, credits and costs under clauses 9, 10 and 13.

12. Confidentiality and non-circumvention

12.1 Delight does not disclose the Seller's identity or location to buyers, unless required for delivery, warranty or technical support, by law, or agreed with the Seller.

12.2 The Seller keeps confidential all information about Delight's buyers, orders and pricing, and must not directly solicit or supply any buyer it learns of through Delight, including through warranty or technical support, in relation to the same requirement for 12 months.

13. Responsibility for counterfeit and faulty products

13.1 The Seller takes full responsibility for, and indemnifies Delight against, all claims, losses, damages, fines, penalties and costs (including legal costs) arising from any product the Seller supplied that is counterfeit, not authorised-sourced, faulty, defective, unsafe, non-compliant or infringes anyone's intellectual property rights. This includes claims by Delight's buyers, manufacturers, brand owners and authorities.

13.2 In particular, the Seller will refund Delight the full price paid for such products and reimburse Delight's costs of recalling, collecting, replacing, removing and reinstalling them, and of any resulting damage to property or other goods.

13.3 The Seller also indemnifies Delight against claims arising from failure to provide the support in clause 9, from product content the Seller authorised Delight to use under clause 2, and from any other breach of these Terms.

13.4 This clause applies to claims made at any time, including after a product is removed and after this arrangement ends, to the extent permitted by law.

13.5 The Seller maintains product liability insurance appropriate to its products.

14. Ending the arrangement

14.1 The Seller may end the arrangement with 30 days' written notice, but not so that any product is removed before the end of its Minimum Listing Period. Clauses 3 and 4 continue to apply to listed products until their Minimum Listing Period ends.

14.2 Delight may end the arrangement, or remove any listing, with 30 days' written notice, or immediately if the Seller materially breaches these Terms, including by supplying any counterfeit product.

14.3 Confirmed purchase orders, orders placed during a Notice Period, back-to-back warranty and technical support, record-keeping under 8.3, confidentiality and the responsibilities in clause 13 continue after the arrangement ends.

15. General

These Seller Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction. Delight may update them with 30 days' notice to active Sellers.
